About the role

Our client: A renowned group of companies with diverse business interests and international investments. The group's interests span multiple businesses, ownership structures and jurisdictions, creating a legal environment where commercial transactions, corporate governance, shareholder interests and day-to-day operating decisions frequently intersect. Your role: This is a seat at the table where business ambition, shareholder interests and legal risk meet. You will work closely with shareholders and the board, helping them navigate major investments, complex transactions, disputes and ownership matters. Your value lies in making the difficult calls: when to push a deal forward, when to change its structure and when to advise against it. You will need to understand the interests behind the instructions, reconcile competing priorities and hold your ground when the business needs clear advice. Trust, discretion and the ability to handle sensitive shareholder conversations will matter as much as technical legal depth. What you will own • Shareholder and board counsel: Advise on ownership structures, shareholder rights, governance and private investment matters. Bring clarity to sensitive decisions and secure alignment on how to proceed. • Transactions and capital: Lead the legal work on acquisitions, investments, joint ventures and financing. Shape the terms early, negotiate the protections that matter and carry transactions through to completion. • Commercial exposure: Understand where risk sits across businesses and jurisdictions. Address weak contractual positions, unclear obligations and unresolved liabilities before they become expensive problems. • Disputes and negotiations: Set the strategy for litigation, arbitration and settlements. Make clear recommendations on what to defend, negotiate or resolve, with commercial consequences firmly in view. • Legal leadership: Build a responsive legal function, develop the internal team and hold external advisers accountable for the quality, cost and usefulness of their advice. What success looks like Shareholders and the board involve you before commitments are made. Transactions move with clear terms and understood risks. Major disputes have a deliberate strategy, realistic cost exposure and a route to resolution. Governance works in practice, and the legal team earns the confidence of business leaders through the quality of its judgement and execution. Must-haves: A professionally qualified lawyer with substantial senior legal experience. You should have helmed the legal function for diverse business entities. You will bring GCC experience, meaningful European exposure and a record of advising shareholders and boards directly. Arabic and English capability is strongly preferred.
