About the role Position Title: Senior Consultant - Hydrocarbon lawyer Specialist Work Location: Kuwait Department: On-sync Energy Management Services Company. Job Responsibilities • Provide legal and regulatory advice on partnership models, ensuring alignment with applicable legal, regulatory, technical, and commercial requirements. • Provide legal support during pre-tender and tender stages and ensure partnership agreements are legally sound and commercially appropriate. • Draft and review Terms & Conditions for Oil & Gas partnerships in coordination with relevant technical, commercial, tax, and other stakeholders. • Advise on the execution and administration of partnership agreements, including amendments, renewals, and relinquishments. • Support the establishment and ongoing legal requirements of Joint Operating Companies (JOCs) and similar partnership structures where applicable. • Monitor changes in applicable laws and regulations and recommend updates to partnership agreements and contractual frameworks. • Provide legal and regulatory guidance during tender negotiations, contract execution, and ongoing partnership activities. • Conduct legal and reputational due diligence on potential partners, including assessment of regulatory standing, compliance history, and associated risks. • Develop and maintain up-to-date legal and regulatory frameworks and reference materials relevant to Oil & Gas partnerships. • Review partner compliance reports and identify, assess, and address contractual or regulatory non-compliance. • Provide legal risk management advice and ensure partnership activities remain compliant with applicable laws, regulations, and contractual requirements. • Coordinate with internal stakeholders, external partners, regulators, and legal advisers on partnership-related legal and regulatory matters. • Provide ongoing legal advice on contractual, regulatory, compliance, and partnership matters. Qualification Requirements • Juris Doctor (JD) or equivalent Law degree from a recognized institution. • Minimum 20 years of professional legal experience, including substantial experience in the Oil & Gas industry. • Extensive experience drafting, reviewing, negotiating, and managing complex Oil & Gas contracts and partnership agreements. • Proven experience with Joint Ventures (JVs), Production Sharing Agreements (PSAs), Joint Operating Agreements, or similar Oil & Gas partnership structures. • Strong knowledge of national and international legal and regulatory frameworks applicable to the Oil & Gas industry. • Demonstrated experience in legal and reputational due diligence, regulatory compliance, and contractual risk assessment. • Experience incorporating regulatory and policy requirements into legal and contractual frameworks. • Strong negotiation, analytical, critical-thinking, risk-management, and stakeholder-management skills. • Knowledge or experience in Energy Law, International Business Law, or Environmental Law is preferred. • Additional certification in Energy Law, Contract Management, or Compliance is an advantage.
