Project Legal Director

Job Purpose: Lead legal and contractual matters throughout the project lifecycle, from tendering and negotiation to financial close, implementation, operations, and compliance, protecting the Company's interests and ensuring effective risk management. Responsibilities: • Tendering & Development: Review RfQs, RfPs, project agreements, legal risks, qualifications, and contractual deviations. • Partnerships & Structuring: Draft and negotiate NDAs, MoUs, consortium, JV, shareholder, and SPV agreements. • Negotiation & Financial Close: Lead legal negotiations of PPP, BOT/BOOT, concession, EPC, O&M, and financing-related agreements. • Project Implementation: Support contract administration, variations, claims, disputes, contractual amendments, and risk mitigation. • Compliance & Governance: Ensure regulatory compliance, contractual obligations, corporate governance, and required approvals throughout the project lifecycle. • Legal Coordination: Manage external legal advisors and provide strategic legal advice to Management and project teams. Functional Skills and Knowledge: • Strong expertise in infrastructure, PPP, EPC, concession, and O&M contracts. • Contract drafting, negotiation, project finance, and dispute resolution. • Knowledge of Saudi legislation, corporate governance, and regulatory compliance. Interpersonal Skills: • Strong negotiation, analytical, and commercial judgment. • Excellent communication, leadership, and stakeholder management. • Ability to work across multidisciplinary and international teams. Qualifications/Experience: • Bachelor's degree in Law; LL.M. advantageous. • Qualified legal professional with 12–15 years of relevant experience. • Proven experience in infrastructure projects from tendering through implementation and operations. • Water, wastewater, utilities, and Saudi PPP experience preferred.
