Job Description – Corporate Legal Counsel Role Overview: SEE Holding is seeking a highly analytical and detail-oriented Corporate Legal Counsel with proven experience in real estate development, particularly within developer companies in the UAE. The role is responsible for safeguarding SEE Holding’s interests and rights from a legal perspective by providing accurate legal advice, reviewing agreements, and supporting the business in complex transactions. The ideal candidate will have strong expertise in property development, construction, joint ventures, corporate structures, company law, contract drafting, management, and negotiations. Key Responsibilities: · Give accurate and timely counsel to company departments in a variety of legal topics (partnerships, JVs, real estate structures, international ventures, corporate finance, incorporation of companies, etc.). · Drafting, reviewing, and amending contracts and agreements, in particular JVs agreements, real estate structuring agreements, MOUs, head of terms, FIDIC contracts, real estate development contracts/agreements, loan agreements, cooperation agreements, financing agreements etc). · Research and evaluate different risk factors regarding business decisions and operations. · Apply effective risk management techniques and offer proactive advice on possible legal issues. · Communicate and negotiate with external parties (regulators, external counsel, JV partners, public authority etc.), creating relations of trust. · Provide clarification on legal language or specifications to everyone in the company. · Conduct the work with integrity and responsibility. · Maintain current knowledge of alterations in legislation. Key Requirements: · Strong knowledge of property development, construction, real estate structures, joint venture projects, commercial law, civil law, company law, trademark law, and real estate law in the UAE, GCC, and MENA. · Familiarity with providing legal advice and consultations, as well as with legal research tools, databases, and specialist information retrieval systems. · Excellent legal drafting, writing, and critical evaluation skills · Fluency in both English and Arabic (written and spoken) is essential. · Minimum of 3–5 years’ experience handling commercial, civil, property development, construction, real estate, joint ventures, corporate matters, and trademark issues, ideally within large organizations and real estate development companies. · Bachelor’s degree in law (LLB or equivalent) is required.
