Your new company Our client is a well‑established investment firm in the Middle East Headquartered in the UAE, this position is based in their Dubai office. Your new role The firm is seeking a dynamic and detail‑oriented Legal Counsel to join its in‑house legal team. In this role, you will support the management of the organisation’s legal affairs and contribute to its operations and compliance efforts. Reporting directly to the GC, you will provide expert transactional and commercial legal advice across all business functions, with a focus on transactions, commercial agreements, and internal corporate matters. You will also be responsible for ensuring legal compliance and minimising the firm’s exposure to legal risk. Your Duties • Advising on investment transactions, with responsibility for legal processes and due diligence across strategic investments. Leading the drafting and negotiation of term sheets and definitive investment documentation. Providing day‑to‑day legal advice on general commercial and contractual matters. • Advising on shareholder and board matters and consents, while overseeing and reviewing board and shareholder communications from portfolio companies. Conducting due diligence on potential investments and ensuring legal and regulatory compliance while identifying and mitigating legal risks across investment activities. Working closely with external stakeholders such as legal counsel, and other professional service providers. • Assisting with compliance matters, including reporting and documentation requirements related to ADGM and FSRA regulations. • Assisting with maintaining registration details for the organisation and its affiliated entities and investment vehicles and supporting required regulatory filings with the FSRA and other relevant authorities. • Undertake special projects and work on an ad-hoc basis as assigned by the General Counsel. What You’ll Need to Succeed • 2+ years’ experience with a leading law firm or in‑house at a reputable investment firm. • Law degree from a reputable institution with strong academic credentials and a license to practice law. • Excellent written and verbal communication skills in English; Arabic proficiency is a plus. Strong analytical skills with a basic understanding of financial concepts. Familiarity with ADGM / FSRA regulations; knowledge of other relevant jurisdictions is advantageous. • Proactive, collaborative, and results-driven with strong time management skills.
