Our shareholders include Actis, Mitsui & Co., TAEF and the International Finance Corporation. 🔍 About the Role We are seeking a Senior Legal Counsel to join our dynamic Legal team at the UAE headquarters in Dubai. Reporting to the Group General Counsel, this role will provide commercially focused legal support across YDE’s renewable energy business, with a focus on project development, commercial contracts, regulatory matters and transaction execution. You will work closely with Commercial, Risk, Technical, Finance, Operations, HR and country teams to support solar PV, BESS, hybrid energy and energy efficiency projects across the Middle East. This role is well suited to a commercially minded lawyer with renewable energy, power, infrastructure, construction or complex contracting experience. Exposure to project finance, M&A, joint ventures or corporate transactions would be a strong advantage. Experience from a reputable law firm, ideally combined with in-house exposure, would be highly valued. ⚡ What You’ll Lead & Support In this role, you will: • Draft, review and negotiate PPAs, solar leases, EPC, O&M, construction, supply and equipment agreements. • Support project development, contract structuring, negotiation strategy, risk allocation and transaction execution. • Advise on contractual obligations, remedies, indemnities, warranties, liability, termination rights and key legal protections. • Support financing, investment, M&A, joint venture, shareholder, acquisition, divestment and restructuring matters. • Review financing documents, including loan agreements, security documents, direct agreements, guarantees and support letters. • Provide legal input on renewable energy, power generation and distributed energy regulatory matters. • Identify legal and commercial risks and recommend practical, business-focused solutions. • Coordinate external counsel on legal, regulatory, corporate, dispute and cross-border matters. • Support governance matters, including entity management, board and shareholder documentation, powers of attorney and internal approvals. • Improve legal templates, processes, repositories, trackers and playbooks. 🛠️ What You Must Bring • Bachelor’s Degree in Law and professional qualification as a solicitor, barrister, attorney or equivalent in a recognized jurisdiction. • Minimum 7 years’ post-qualification legal experience. • Strong experience from a reputable law firm, ideally combined with in-house legal experience. • Solid corporate and commercial legal experience, including drafting, negotiation and contract management. • Relevant experience in renewable energy, power, infrastructure, construction, project development, project finance, M&A and/or complex commercial contracting. • Practical legal experience supporting project-based transactions, including exposure to PPAs, solar leases, EPC agreements, construction/supply agreements and financing documents. • Strong business judgement, with the ability to balance legal risk with commercial priorities. • Confidence advising senior stakeholders in a fast-paced, multinati
