Job Purpose The Group Legal Director (General Counsel) will serve as the principal legal adviser to the Board and Executive Management, leading all legal, governance, compliance, disputes, and regulatory matters across the Group's international energy operations. The role requires prior experience acting as General Counsel, Deputy General Counsel, or equivalent senior legal leader within an international energy, oil & gas, mining, or infrastructure company, with responsibility for managing complex cross-border disputes, international arbitration, and litigation. Disputes, Arbitration & Litigation • Lead and manage high-value international arbitration, litigation, mediation, and dispute resolution matters across multiple jurisdictions. • Act as the Company's legal lead on disputes arising from PSCs, concession agreements, joint ventures, EPC contracts, and energy infrastructure projects. • Manage external counsel, arbitration tribunals, expert witnesses, and litigation strategy. • Represent and protect the Company's interests in ICC, LCIA, ICSID, SIAC and other international arbitration proceedings. • Advise senior management and the Board on dispute risks, claim strategies, and settlement negotiations. Mandatory Requirements • Bachelor's Degree in Law (LLB) and admission to practice law in a recognised jurisdiction. • Master's Degree (LLM) preferred. • Minimum 20 years of legal experience. • Minimum 10 years in senior legal leadership positions. • Proven experience as General Counsel, Deputy General Counsel, Group Legal Director, or equivalent within an international Energy, Oil & Gas company. • Demonstrated responsibility for legal matters across multiple international jurisdictions and complex cross-border operations. • Significant experience negotiating and advising on: • Production Sharing Contracts (PSC) • Concession Agreements • Joint Operating Agreements (JOA) • Joint Venture Agreements (JV) • Gas Sales Agreements (GSA) • Gas Transportation Agreements (GTA) • EPC Contracts • Project Development Agreements • International Commercial Contracts • Extensive experience leading international arbitration and litigation matters, including arbitrations under ICC, LCIA, ICSID, SIAC or equivalent international forums. • Strong experience managing disputes involving governments, state-owned entities, regulators, JV partners, EPC contractors, and international counterparties. • Strong Middle East experience is mandatory. • Extensive Board-level advisory experience and direct engagement with CEOs and Executive Committees. Preferred Experience • International energy project development. • Mergers & Acquisitions. • Cross-border investments and financing transactions. • Government and sovereign negotiations. • Energy transition, power generation, LNG, upstream and midstream projects. • Experience working in Africa, Middle East, CIS, Asia, or other emerging markets.
