WE ARE HIRING – SENIOR LEGAL CONSULTANT Al Murshed Legal Consultancy is seeking an experienced Senior Legal Consultant to join our team. Language Requirements Candidates must be fully bilingual in Arabic and English, or native English speakers with strong professional communication skills. ADGM and DIFC Courts Responsibilities * Assess cases and develop effective litigation strategies. * Draft statements of case, pleadings, applications, legal submissions, witness statements, and settlement agreements. * Manage cases and represent clients throughout proceedings before the ADGM Courts and DIFC Courts. * Handle electronic filing, procedural deadlines, hearings, disclosure, evidence, enforcement, and appeal procedures. * Provide clients with clear legal opinions, risk assessments, and regular case updates. * Negotiate settlements and coordinate with clients, barristers, experts, and other relevant parties. * Strong knowledge of ADGM and DIFC court rules, procedures, and common-law principles is essential. * Existing registration or rights of audience before the ADGM or DIFC Courts would be a strong advantage. Mergers and Acquisitions Responsibilities * Advise clients on share acquisitions, asset acquisitions, mergers, joint ventures, and corporate restructuring. * Structure transactions and recommend the most appropriate legal acquisition method. * Conduct and supervise legal due diligence and identify legal, regulatory, contractual, and commercial risks. * Draft, review, and negotiate term sheets, letters of intent, share purchase agreements, asset purchase agreements, shareholders’ agreements, disclosure letters, and related transaction documents. * Manage regulatory approvals, corporate authorizations, conditions precedent, signing, completion, and post-acquisition matters. * Coordinate with clients, financial advisers, auditors, regulators, and other professional advisers throughout the transaction.
