JOB SUMMARY: Claritev is seeking an accomplished and commercially minded Senior Counsel – International to serve as a key legal advisor supporting the company's expanding global operations. This highly visible role will provide strategic legal leadership across multiple jurisdictions, with a primary focus on the Middle East (particularly GCC countries), Asia, and Europe. The successful candidate will be a trusted partner to senior business leaders, advising on complex legal, regulatory, and commercial matters while enabling growth and mitigating risk. This role requires deep expertise in international business transactions, regulatory compliance, employment matters, data privacy, corporate governance, and cross-border M&A. The Senior Counsel – International will operate with significant autonomy, lead critical legal initiatives, and help shape the legal strategy supporting Claritev's international business objectives. JOB ROLES AND RESPONSIBILITIES: Strategic Legal Advisory • Serve as the lead legal advisor for Claritev's international operations and business initiatives. • Partner closely with executive leadership to provide practical, risk-based legal guidance that supports strategic growth and operational objectives. • Advise stakeholders on legal and regulatory developments impacting business activities across the Middle East, Europe, and Asia. Commercial Transactions & Corporate Matters • Lead the negotiation, drafting, and structuring of complex commercial agreements with clients, partners, vendors, suppliers, and other strategic stakeholders. • Advise on cross-border mergers, acquisitions, joint ventures, strategic investments, and corporate restructuring initiatives. • Support corporate governance matters, including entity formation, maintenance, licensing, and corporate compliance across multiple jurisdictions. Regulatory Compliance & Risk Management • Provide legal counsel on international regulatory frameworks and compliance obligations, including industry-specific regulations, sanctions, anti-corruption requirements, and corporate governance standards. • Advise on employment and labor law matters across diverse jurisdictions. • Guide data privacy, cybersecurity, and information governance matters, including compliance with global data protection requirements. • Develop and implement proactive legal and compliance programs that strengthen risk management and support business objectives. Disputes & External Counsel Management • Manage relationships with external counsel across multiple jurisdictions. • Oversee litigation, arbitration, investigations, and regulatory matters, ensuring consistent legal strategy and effective resolution. • Assess and mitigate legal risks associated with international operations and commercial activities. Leadership & Collaboration • Represent the Legal Department on enterprise-wide initiatives, committees, and cross-functional projects. • Collaborate effectively with leaders across Finance, Human Resources, Information Technology, Compliance, and Operations. • Mentor and develop junior attorneys, legal professionals, and support staff, fostering a culture of excellence and continuous development. • Promote Claritev's commitment to integrity, ethics, and compliance throughout global operations. The Senior Counsel – International will be entrusted with managing high-impact legal matters, influencing critical business decisions, and navigating complex cross-border legal environments. JOB REQUIREMENTS (Education, Experience, and Training): Required • Juris Doctor (JD), LLB, or equivalent law degree from a recognized institution. • Admission to practice law in at least one jurisdiction. • Minimum of 10 years of post-qualification legal experience, including substantial experience supporting international business operations. • At least 5 years of legal experience advising organizations within the Middle East, particularly GCC jurisdictions. • Demonstrated expertise in international commercial transactions, regulatory compliance, corporate law, and cross-border legal matters. • Strong business acumen with the ability to balance legal risk and commercial objectives. • Proven ability to translate complex legal concepts into clear, pragmatic business advice. • Exceptional negotiation, drafting, communication, and stakeholder management skills. • Experience working effectively with senior executives and cross-functional leadership teams. • Ability to thrive in a fast-paced, growth-oriented, and highly collaborative environment. • Willingness to travel internationally, as required. Preferred • Fluency in Arabic and English. • Experience supporting multinational organizations in the technology, healthcare, healthcare technology, or data-driven industries. • Experience establishing or scaling operations across international markets. • Knowledge of healthcare regulatory frameworks, data privacy laws, and compliance programs. • Prior experience with mergers and acquisitions, strategic partnerships, and post-acquisition integration initiatives. • Experience managing and mentoring legal professionals across multiple jurisdictions.
