## Description

Our client, a leading Oil & Gas organisation, with operations across the UAE and wider region, is seeking an experienced Compliance Officer on a part-time basis.

This is a senior, independent compliance role acting as the central point of reference on ethics and compliance for management, the Board of Directors and its committees, and promoting a culture of integrity across the organisation and its group entities.

The role reports administratively to the General Counsel and the Audit Committee, with direct escalation to the Board of Directors on significant matters and irregularities.

Key Responsibilities

• Supervise compliance across the company and its subsidiaries with applicable laws, regulations, policies and procedures

• Provide assurance to senior management and the Board that policies and procedures are effective, understood and observed

• Develop an annual compliance action plan, agreed with the General Counsel and presented to the Audit Committee; review periodically against regulatory and business change

• Design, implement and maintain internal ethics and compliance policies, including Code of Conduct, anti-bribery and corruption, conflicts of interest, gifts and hospitality, whistleblowing, insider dealing and related party transactions

• Maintain a central policy register and governance process for policy review, approval and updates

• Monitor compliance with SCA corporate governance rules and ADX listing requirements, including insider lists, trading blackout periods and related party transaction controls

• Act as regulatory liaison with SCA and ADX, coordinating with the Board Secretary and Investor Relations

• Ensure regulatory correspondence and filings are completed within required deadlines

• Provide strategic guidance and practical, timely advice to management and business units on proposed transactions, arrangements and day-to-day compliance queries

• Design and deliver compliance training and awareness programmes for employees, management and Board members; oversee annual Code of Conduct acknowledgements

• Manage the annual conflicts of interest and gifts/hospitality declaration process and advise on handling declared conflicts

• Administer the whistleblowing channel, protecting confidentiality of whistleblowers

• Conduct independent investigations into compliance matters, coordinating with Legal, HR and Internal Audit as needed

• Oversee integrity due diligence and sanctions screening of joint venture partners, agents, contractors and high-risk third parties

• Coordinate compliance risk assessments, departmental reviews and follow-up on remedial actions

• Support internal and external audits and regulatory examinations on compliance matters

• Prepare and submit regular, clear compliance reports to the General Counsel, Board Steering Committee, Audit Committee and Board of Directors; escalate significant matters without delay

• Direct any external compliance advisers engaged to support the function

Key Internal & External Relationships

• Internal: Board of Directors and committees, all corporate departments

• External: SCA, ADX, external auditors, external legal counsel and compliance advisers, professional bodies (e.g. International Compliance Association)

Commitment & Location

• Minimum 2 days per week, 8 hours per day

• Based at the client's offices in Sharjah / DIFC

• Occasional travel to regional group operations may be required

Compensation

• All-inclusive flat daily rate of AED 1,260 - no overtime or additional payments

• Pre-approved business expenses reimbursed at actual cost

Requirements:

• Bachelor of Laws (LLB) or Master of Laws (LLM)

• Recognised professional compliance certification (e.g. ICA diploma or Certified Compliance Officer)

• 10+ years in legal, compliance or regulatory roles

• At least 5 years within a compliance function in a listed company, regulated entity, or the energy sector in the UAE or GCC

• Working experience with SCA (formerly SCA) and ADX requirements is essential

• High degree of discretion required in handling confidential and price-sensitive information
