Kuwait | IPO Readiness | Targeting Boursa Kuwait Premier Market (السوق الأول) | Full-time | On-site

A large Kuwait-based group is preparing for a planned IPO, targeting Boursa Kuwait’s Premier Market (السوق الأول).

We are looking for an experienced Director of Compliance to build and lead the Company’s compliance function through IPO readiness and into life as a listed company.

This is a hands-on leadership role with direct exposure to senior management and the Board. The successful candidate will become the principal internal owner of the Company’s compliance framework and will play a central role in implementing the regulatory, disclosure and corporate-governance requirements expected of a Premier Market company.

The Role

You will:

• Lead the Company’s Compliance function.

• Own the compliance workstream for IPO readiness.

• Assess current compliance and governance gaps and drive closure.

• Lead implementation of applicable CMA Kuwait and Boursa Kuwait requirements.

• Manage regulatory correspondence, submissions, inspections and follow-up actions.

• Establish and maintain the Company’s compliance framework, policies, procedures and monitoring programme.

• Develop clear compliance reporting for senior management, the Board and Board Committees.

• Support implementation of corporate-governance requirements relating to:

• disclosures;

• conflicts of interest;

• related-party transactions;

• Code of Conduct;

• whistleblowing;

• insider and connected-person controls;

• governance reporting.

• Work closely with Legal, Risk, Internal Audit, Finance and external IPO advisers.

• Support Board and committee governance from a compliance perspective.

• Build and develop the Compliance team as the Company grows.

• Promote a practical compliance culture across operations in Kuwait and the wider GCC.

What We Are Looking For

We are specifically looking for someone who has personally owned corporate compliance responsibilities, not simply supported them.

You should have:

• Significant Compliance experience in Kuwait.

• Current or recent experience within a Boursa Kuwait-listed company, preferably in a leadership role.

• Strong practical knowledge of CMA Kuwait regulations and Boursa Kuwait requirements.

• Direct experience dealing with CMA and/or Boursa Kuwait on regulatory matters.

• Experience preparing or reviewing compliance reporting for senior management, the Board or Board Committees.

• Experience building, improving or operating a corporate compliance framework.

• Strong understanding of listed-company governance, disclosure and Board requirements.

• Arabic and English fluency.

• Current residence in Kuwait.

Experience supporting an IPO, listing, governance transformation or post-listing transition would be a significant advantage.

This role is focused on corporate compliance, listed-company governance and CMA/Boursa Kuwait requirements.

It is not primarily a banking AML/CFT, Internal Audit or Enterprise Risk role.

## Requirements
