## Description

Overview

The Legal Counsel – Real Estate will serve as an assistant legal advisor on all real estate-related matters across the Group's development, investment, asset management and operational activities. The role will support the full lifecycle of real estate projects from land acquisition and structuring through development, leasing, asset management and disposal (including SPA drafting and amendments) as well as interaction with regulators (amongst others ADREC and ADGM).

Key Responsibilities

• Support on advice on land acquisitions, disposals and development opportunities.

• Legal support for sale and purchase agreements, development agreements, real estate based joint venture arrangements and strategic real estate transactions.

• Advise on leasing matters across commercial, residential, retail and mixed-use assets.

• Support asset management teams on tenant matters, lease negotiations and portfolio management issues.

• Review and negotiate brokerage, property management and consultancy agreements.

• Support on advice on real estate regulatory matters, including dealings with relevant Abu Dhabi authorities and regulators.

• Assist in managing external counsel on significant transactions and specialist matters.

• Identify and mitigate legal and commercial risks associated with development projects and real estate investments.

• Develop and maintain legal templates and internal policies relating to real estate operations.

• Work closely with development, investment, asset management and finance teams.

Experience and Qualifications

• Qualified lawyer in a recognised common (or civil) law jurisdiction.

• Minimum 3 to 5 years post-qualification experience.

• Experience gained at a leading international or top-tier regional law firm.

• Experience advising on complex real estate transactions and development projects.

• Prior in-house experience within a real estate developer, investor or sovereign-related entity is advantageous.

• Strong drafting, negotiation and stakeholder management skills.

• Arabic language skills beneficial but not essential.
