## Description

About Cenorion

Cenorion Technology Ltd builds and delivers SaaS platforms and mobile device experiences for customers across multiple markets. As the business grows its subscription software and device product lines, we are looking for a commercially minded in-house Lawyer to manage legal risk, structure key agreements, and protect the company's technology and brand.

The Lawyer will serve as Cenorion's in-house Counsel, reporting directly to the CEO/COO, and will be the company's primary legal advisor across commercial contracting, technology and intellectual property matters, and general corporate compliance. This is a hands-on, on-site role suited to a lawyer who is comfortable working close to the business, drafting and negotiating SaaS and technology agreements directly, and translating legal risk into practical, commercially sound guidance for a growing software and device company

Key Responsibilities

• Draft, review, and negotiate a wide range of commercial contracts, including SaaS subscription and licensing agreements, terms of service, SLAs, reseller/distribution agreements, and vendor and supplier contracts.

• Advise on intellectual property matters relevant to software and mobile device products, including IP ownership, licensing, protection, and enforcement.

• Advise on data protection and privacy compliance across SaaS and mobile device offerings, including UAE data protection law and, where relevant, applicable international frameworks.

• Support product, engineering, and sales teams with day-to-day legal guidance on new features, partnerships, and go-to-market initiatives.

• Manage corporate governance matters, statutory filings, and compliance with UAE company law and free zone/mainland regulatory requirements.

• Identify, assess, and mitigate legal and regulatory risk across the business, escalating material issues to the CEO/COO with clear, actionable recommendations.

• Manage disputes, claims, and pre-litigation matters, and coordinate with external counsel where specialist or litigation support is required.

• Maintain and continuously improve contract templates, playbooks, and internal legal policies and procedures.

• Support HR on employment law matters, including employment contracts, policies, and UAE labor law compliance.

• Monitor changes in UAE and relevant international law affecting technology, SaaS, and consumer device businesses, and advise leadership on implications.

Required Qualifications & Experie

• nceLaw degree (LLB or equivalent); qualified lawyer/advocate, admitted to practice in a recognized jurisdiction.

• Demonstrated experience drafting and negotiating SaaS, software licensing, or technology commercial agreements.

• Working knowledge of intellectual property protection relevant to software and hardware/device products.

• Familiarity with data protection and privacy requirements applicable to SaaS and mobile device businesses.

• Solid understanding of UAE corporate, commercial, and labor law, or demonstrated ability to quickly build this expertise.

• Strong drafting, negotiation, and communication skills, with the ability to explain legal risk clearly to non-legal stakeholders.

• Comfortable working independently and on-site as a company's sole or lead in-house lawyer.

Preferred Qualifications

• Prior in-house experience at a SaaS, software, or consumer electronics/mobile device company.

• UAE-qualified lawyer or prior experience practicing in the UAE.

• Experience supporting fundraising, M&A, or corporate restructuring
