## Description

Job Purpose

To lead board evaluation, governance advisory, and director development engagements that enhance board effectiveness and create long-term organizational value. The role acts as a trusted advisor to Boards and senior executives while advancing Hawkamah's thought leadership, stakeholder engagement, and business development initiatives across the region.

Key Focus Areas

Board Effectiveness & Governance Advisory

• Lead and deliver governance advisory engagements, including board evaluations and governance assessments.

• Conduct interviews with board members, senior executives and key stakeholders.

• Analyze governance practices and prepare high-quality reports with practical, commercially relevant recommendations.

Board & Executive Education

• Design and deliver Director Development Programmes, tailored board workshops and board briefings.

• Deliver company secretary, nominee director and executive governance programmes.

Thought Leadership

• Represent Hawkamah at conferences, panels, webinars and policy discussions.

• Publish articles and produce governance insights that shape regional practice.

• Contribute to new methodologies, publications and digital governance solutions.

Business Development

• Build long-term relationships with Chairs, directors, CEOs, company secretaries, general counsel, heads of governance, regulators and government entities.

• Prepare proposals and presentations, support key client meetings, and contribute to the firm's revenue targets.

Candidate Profile

Relevant Experience

• 15' years professional experience in one or more of: corporate governance, board effectiveness or board advisory, governance consultancy, company secretarial practice, stewardship or ESG investing, institutional investment, governance research, or executive education.

• Experience working directly with boards of directors is essential.

• Understanding of governance practices across the GCC and wider MENA region is strongly preferred.

Technical Skills and Knowledge

• Strong grasp of corporate governance principles, board effectiveness, board evaluations and board dynamics.

• Familiarity with governance regulations, company secretarial practice, risk governance and governance operating models.

• Knowledge of subsidiary and group governance is highly desirable.

Mandatory Qualifications / Requirements

• Exceptional communication, presentation and facilitation skills, including confident public speaking.

• Ability to engage credibly with Chairs, CEOs and directors, and to influence without authority.

• Strong analytical ability and excellent report writing, with the skill to translate complex governance issues into practical business language.

• Commercial awareness, relationship-building and project management capability.

• Proficiency in Arabic (spoken and written) is an advantage.

Preferred Qualifications

• Bachelor's degree required; a postgraduate qualification is desirable.

• Relevant professional qualifications are advantageous — e.g. Chartered Governance Professional (CGI), corporate secretary or legal qualification, MBA, CFA, or ESG/sustainability credentials.
