## Description

Key Responsibilities

Legal Advisory & Corporate Counsel

• Provide strategic legal advice and guidance to business units and senior management on corporate, commercial, insurance, and regulatory matters.

• Draft, review, negotiate, and advise on a broad range of commercial agreements, contracts, and legal documentation.

• Provide legal opinions on complex business transactions, corporate governance matters, and operational initiatives.

• Support business stakeholders in identifying legal risks and recommending practical, commercially sound solutions.

Insurance & Regulatory Compliance

• Advise on insurance laws, regulations, and industry best practices applicable within the UAE and broader regional markets.

• Ensure the organization's legal documentation, policies, and business practices comply with applicable laws, regulatory requirements, and internal governance standards.

• Monitor legal and regulatory developments impacting the insurance industry and advise management on potential implications.

• Support regulatory inquiries, licensing matters, and communications with government authorities and regulatory bodies.

Contract Management

• Draft, review, negotiate, and manage complex commercial, procurement, vendor, partnership, and customer agreements.

• Ensure contractual terms adequately protect the company's legal and commercial interests.

• Provide guidance on contract interpretation, dispute avoidance, and contractual obligations.

• Maintain legal documentation and contract management processes.

Dispute Resolution & Litigation Management

• Manage legal disputes, claims, and litigation matters in coordination with external legal counsel.

• Provide legal strategy and risk assessment for disputes, arbitration, and regulatory investigations.

• Review litigation documentation and oversee external legal service providers to ensure effective case management.

Corporate Governance & Risk Management

• Support corporate governance initiatives and ensure compliance with internal policies and governance frameworks.

• Identify legal and regulatory risks associated with business operations and recommend mitigation strategies.

• Assist with board resolutions, corporate filings, governance documentation, and legal reporting requirements.

Stakeholder Collaboration

• Partner with executive management, business leaders, compliance, risk, finance, HR, and operational teams on legal matters.

• Provide legal training and awareness sessions to internal stakeholders where appropriate.

• Collaborate with external counsel, regulators, and government entities as required.

Required Skills & Experience

• Bachelor's degree in Law (LL.B.) from a recognized university. A Master's degree (LL.M.) is an advantage.

• Qualified legal practitioner with 12+ years of post-qualification legal experience.

• At least 2 years of experience within an international law firm or the in-house legal department of a prominent regional or international organization.

• Full Professional Proficiency in both English and Arabic (written and spoken).

• Strong experience in corporate, commercial, insurance, and regulatory legal matters.

• Demonstrated ability to independently manage complex legal transactions and provide strategic legal advice.

• Strong negotiation, drafting, legal research, and analytical skills.

• Excellent communication, stakeholder management, and relationship-building abilities.

• Ability to work effectively in a fast-paced, highly regulated corporate environment.

Preferred Qualifications

• Professional qualification from the Chartered Insurance Institute (CII), London, or an equivalent insurance-related professional certification is highly preferred.

• Experience supporting insurance companies or financial services organizations.

• Strong understanding of UAE insurance regulations, corporate governance, and commercial law.

• Experience managing external counsel and regulatory engagements.

• Familiarity with international legal standards, cross-border commercial transactions, and multinational corporate environments.
